1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Harmiyen Solutions Ltd.'s websites, dashboards, APIs, datasets, alerts, models, documentation, and related software-as-a-service offerings (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy (AUP). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Services; No Investment Advice; No Performance Guarantee

The Services provide access to North American natural gas pipeline data, including flows, capacity, constraints, nominations, scheduled volumes, actualized flows, historical series, aggregations, analytics, and, in certain tiers, derived flow analytics and constraint indicators.

Harmiyen Solutions Ltd. does not provide investment, financial, trading, legal, or tax advice. All information and outputs — whether raw data, analytics, alerts, or predictive indicators — are provided solely for informational purposes. Nothing in the Services constitutes a recommendation or solicitation to buy, sell, hold, or trade any commodity, security, derivative, or financial instrument.

Markets are volatile; data and models may be delayed, incomplete, or inaccurate. We do not guarantee performance, accuracy, or profitability of any trading strategy or decision.

3. Eligibility; Jurisdictions

You must be at least 18 years old and capable of forming a binding contract. You may not use the Services if you are located in or are a national of any sanctioned or embargoed jurisdiction, or are otherwise prohibited under applicable sanctions laws. We currently serve users located in Canada and the United States. You are responsible for ensuring your use complies with local laws.

4. Accounts, Security, and Access

You agree to provide accurate registration information and to keep it current. You are solely responsible for maintaining the confidentiality of your credentials and any API keys, and for all activities under your account. Credential or key sharing is prohibited. Notify us promptly at dvs.wafl@gmail.com of any suspected unauthorized use or security incident.

5. License, Ownership, and Derived Works

5.1 Ownership
The Services, software, user interfaces, models, databases, compilations, selection and arrangement of data, and all related intellectual property are owned by Harmiyen Solutions Ltd. or its licensors. Except for the limited license below, no rights are granted by implication or otherwise.

5.2 License
Subject to these Terms and the AUP, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes during your active subscription.

5.3 Public/Third-Party Sources
Certain inputs are sourced from public pipeline websites and other third-party sources. Your use must comply with any restrictions, attributions, or terms that apply to such sources. We may modify or remove datasets if required by a source or by law.

5.4 Derived Works
You may create internal analyses and models using outputs from the Services for your organization's internal use. You may not resell, redistribute, publish, or publicly disseminate our data, outputs, or any material portion thereof without our prior written consent.

6. Acceptable Use

You must comply with our Acceptable Use Policy. Prohibited conduct includes:

Market manipulation or insider trading
Misuse of material non-public information
Scraping, bulk downloading, or reverse engineering
Interfering with the Services or circumventing technical controls
Publishing benchmarks or reselling access
Sharing account credentials with others
Using the Services for any unlawful purpose

Violation of these terms may result in immediate account suspension or termination.

7. Regulatory Compliance

You are solely responsible for ensuring that your access to and use of the Services complies with applicable securities, commodities, derivatives, and market-conduct laws and rules — including anti-manipulation and anti-fraud provisions, exchange/market rules, reporting obligations, and rules governing trading, hedging, or commercial activities. Harmiyen Solutions Ltd. is not registered as, and does not act as, a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, or any other regulated intermediary.

8. Subscriptions, Fees, Taxes

Subscription pricing is based on plan tier and number of seats. Subscriptions may be purchased on a monthly or annual basis and auto-renew for the same term unless canceled at least 48 hours before the renewal date. Fees are billed in advance.

Harmiyen Solutions Ltd. uses Stripe as its authorized payment processor. Applicable taxes, including GST, will be applied as required by law.

Refunds
Refund requests are reviewed on a case-by-case basis. There are no refunds on unused subscription periods. See our Refund Policy for full details. We may modify pricing on renewal with prior notice.

9. Trials; Beta and Experimental Features

We do not offer free trials unless expressly stated in writing. Beta and experimental features are provided AS IS, may contain errors or incomplete data, may be modified or discontinued at any time, and carry no warranties or performance commitments. Your use of Beta features is voluntary and at your own risk.

10. Service Availability and Support

We will use commercially reasonable efforts to provide and maintain the Services. We do not guarantee uninterrupted availability or error-free operation. Planned maintenance may occur with notice where practicable. Support is available via dvs.wafl@gmail.com during standard business hours in British Columbia, Canada, unless otherwise agreed in writing.

11. Data Accuracy; Model Limitations

Operational data may be delayed, incomplete, or inaccurate due to source availability, posting changes, or transmission issues. Predictive indicators and analytics involve uncertainty and may be incorrect. You should validate results and exercise independent judgment before relying on them.

12. Confidentiality

Each party may receive non-public information of the other that is marked confidential or would reasonably be considered confidential. The receiving party will use such information only to perform under these Terms and will protect it using reasonable measures. Exclusions apply for information that is public, independently developed, or rightfully obtained from a third party without restriction.

13. Privacy

Our Privacy Policy describes how we collect, use, share, and protect personal information. By using the Services, you consent to our processing as described in the Privacy Policy.

14. Term; Termination; Effect of Termination

These Terms remain in effect from account creation or first use until terminated. We may suspend or terminate access immediately for breach (including AUP violations), non-payment, legal or regulatory risk, or security reasons. You may terminate at any time, effective at the end of your current paid term, subject to the 48-hour notice requirement for non-renewal. Upon termination, your license ends and access ceases. We may retain transactional and account records as required or permitted by law. Upon request, we may provide a limited window for you to export your data.

15. Disclaimer of Warranties

THE SERVICES AND ALL DATA/OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR RESULTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

17. Indemnification

You will defend, indemnify, and hold harmless Harmiyen Solutions Ltd. and its affiliates, officers, directors, and employees from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Services, violation of the AUP or applicable law, or infringement caused by materials you provide.

18. Changes to the Services or Terms

We may update the Services and these Terms from time to time. Material changes will be notified via the Services or email. Changes take effect upon posting or on the stated effective date. If you do not agree, discontinue use before the effective date.

19. Governing Law; Venue

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in British Columbia, Canada.

20. Export; Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or person on applicable sanctions lists. You agree to comply with all applicable export control and sanctions laws.

21. Miscellaneous

These Terms, together with the Privacy Policy and AUP, constitute the entire agreement between you and Harmiyen Solutions Ltd. and supersede all prior understandings. If any provision is found unenforceable, the remainder will remain in effect. You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. No waiver is effective unless in writing.
